Formation of Business & Non-Profit Entities

We advise the advantages and disadvantages of various business and non-profit entities: sole proprietorship, limited liability company, general partnership, limited partnership, regular corporation, S corporation, close corporation, professional corporation, and non-profit entities, so you can make an informed choice. We then prepare and file the necessary documents by fixed fees to form the chosen entity, such as articles, bylaws, share certificates, and minutes. Upon your request we will email you an interactive Excel sheet on which you can choose what you want to do yourself and what you want our firm to do. 

Early Firm Ownership

We counsel non-public business entities from the point of organization through early round venture financing, until direct involvement of securities counsel on an ongoing basis is necessary.

We assist you in establishing proper transfer mechanisms for unanticipated deaths and other situations, such as buy-sell agreements.

We provide real-time business counseling in addition to document preparation services.

We assist your firm to comply with formalities and prepare necessary compliance documentation.

We advise you on employment matters such as employment agreements, policies and procedures, and compliance with state and federal labor laws, including "bounty hunter" laws and wage and hour rules. We assist you in internal investigations of employee claims, including sexual harassment claims, counseling on employee hiring, discipline and firing matters, employee benefit plans, and advising on emerging employment issues, such as privacy, electronic communications, violence, and substance abuse issues. International Transactions

Who We Are

Image of Bruce Leonard Beal

The present firm arose from Bruce's move from the Los Angeles area to Dana Point, where he and his wife wanted to live since they first  discovered it. 

Bruce comes from the Senior Counsel position in a large world class international technology, engineering and construction corporation with thousands of employees, hundreds of large clients, world class projects, hundreds of affiliates, and complex transactions and litigation. 

Before that, he gained significant major law firm experience, including arguments before state appellate and supreme courts.

His desire in moving to Dana Point was and still is to bring his world class experience to smaller and emerging businesses in the area. 

This experience produces more valuable legal and business judgment from him than is available from newer attorneys or attorneys whose practices are more specialized and localized.
