Fee Schedule

          Provisos:  The following comments apply, unless otherwise provided:

  1. Any fixed fee shown is the document preparation fee without significant negotiations and/or redrafting.

  2. Significant redrafting and/or negotiations, i.e. those taking more than ten minutes,  will be charged at an hourly rate of $225/hr in 5 minute increments, or other agreed rate.  

  3. The fee for review, comments, and revisions of documents provided by you will be charged at an hourly rate of $225/hr in 5 minutes increments, or other agreed rate.

  4. All fees exclude out-of-pocket fees and expenses.

Small Business Sale/Acquisition <$500,000*:  

First, the purchaser, for tax, liability, and other reasons, will usually dictate what type of transaction they want, sometimes the sale of the complete business, but usually the sale of assets.  The sale of assets is a more complicated procedure legally requiring at least a 30 day escrow and notice procedure.  

Second, purchasers may or may not have a lawyer, although they should.  Also, purchasers with lawyers will usually volunteer to produce the draft agreement, which lowers the transaction cost for the seller, but will greatly complicate the agreement, and requires review by the sellers’ lawyer.  The legal effort of the sellers’ lawyers can vary greatly from transaction to transaction, which is why most lawyers do these transactions on an hourly basis.  

I normally charge the following fixed fees:  

  1. Review of other party’s lawyer’s complete sale agreement with recommendations without significant negotiations: 0.25% of transaction amount; Minimum: $250
  2. Review and monitor escrow of other party’s lawyer’s bulk sales agreement with reasonable negotiations: 0.5% of purchase price; Minimum of $500
  3. Draft bulk sales asset purchase agreement and monitor escrow, including reasonable negotiations: 1% of purchase price; Minimum of $1000

*-All of the above fees exclude asset valuation, classification, allocation, and completing of IRS Form 8594.  

Professional Practice Sale/Acquisition <$500,000*:  

  1. Legal consultation and documentation for straight sale or purchase of a professional practice, including asset or stock purchase agreement, note, security or stock pledge agreement, UCC financing statement, non-competition agreement, pre- and/or post-sale Association or Employment Agreements, Sublease or Lease Assignment or Seller-as-Landlord Lease, Accounts Receivable Agreement, Bill of Sale, Escrow Instructions, and all other expenses: 1% of purchase price; Minimum of $1000 for one party; 0.5% of purchase price; Minimum of $500 for joint representation with consent of each additional party
  2. Letter of Intent/Memorandum of Understanding: $225, to be applied to successful transaction
  3. Non-disclosure Agreement: $225, to be applied to successful transaction
